Terms of Service

1.Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and tahro, Inc. ("tahro", "we", "our", or "us") governing your access to and use of the tahro platform, including our website, web application, APIs, and all related services (collectively, the "Service").

By creating an account, clicking "I Agree", or otherwise accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time; continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

Users must be at least 16 years of age to create an account. Users between the ages of 16 and 18 must have parental or guardian consent.

2.Description of Services

tahro provides a cloud-based collaboration platform that includes the following core components:

Video Meetings: Browser-based HD video conferencing using WebRTC technology, supporting up to the participant limits of your plan, with features including screen sharing, lobby management, room locking, and optional recording.

Team Workspace: A shared environment for teams to communicate via channels, threads, and direct messages, share files, and manage projects.

Business Email: Custom-domain email hosting with support for mailboxes, aliases, forwarding rules, and standard IMAP/SMTP protocols.

Whiteboards: Real-time collaborative infinite canvas for sketching, diagramming, and ideation, with persistent storage and export capabilities.

AI Features: Automated meeting transcription, AI-generated summaries and action items, talk equity analytics, and related intelligence features available on Pro plans and above.

API: A REST API enabling programmatic access to tahro functionality for integration with third-party tools and custom applications.

The specific features available to you depend on your plan tier (Free, Pro, Business, or Enterprise). We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, though we will provide reasonable notice of material changes.

3.User Accounts

Registration: To access most features of the Service, you must register for an account using a valid email address and create a secure password. You agree to provide accurate, current, and complete information during registration and to update it as necessary.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must immediately notify us at security@tahro.io if you suspect unauthorized access to your account. We strongly recommend enabling two-factor authentication.

Account Types: tahro accounts include individual user accounts and workspace administrator accounts. Workspace administrators have additional permissions to manage members, billing, and workspace-wide settings. By accepting an invitation to a workspace, you acknowledge that the workspace administrator may have access to activity data and content within that workspace.

Guest Access: Guests may join meetings via a shared link without creating a tahro account. Guests are subject to these Terms and our Privacy Policy for the duration of their participation in a meeting.

Account Suspension: We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or remain inactive for more than 18 months on a free plan. We will provide notice where practicable before suspension.

4.Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited:

Illegal Activity: Using the Service to engage in any activity that violates applicable local, national, or international law or regulation, including but not limited to unauthorized recording of parties in jurisdictions that require all-party consent.

Harmful Content: Uploading, transmitting, or distributing content that is abusive, threatening, defamatory, obscene, pornographic (including child sexual abuse material, which will result in immediate termination and reporting to law enforcement), or that promotes violence or discrimination.

Security Violations: Attempting to gain unauthorized access to any part of the Service or its related systems; conducting penetration testing without prior written authorization; introducing malware, viruses, or other malicious code; engaging in denial-of-service attacks.

Intellectual Property Infringement: Uploading or sharing content that infringes the copyright, trademark, trade secret, or other intellectual property rights of any third party. We comply with the Digital Millennium Copyright Act (DMCA) and will respond to valid takedown notices. Repeat infringers will have their accounts terminated.

Spam and Abuse: Sending unsolicited bulk communications, phishing messages, or using the Service to collect personal information without authorization.

Circumvention: Attempting to bypass plan limits, circumvent access controls, reverse-engineer the Service, or use automated means to access the Service in a manner that exceeds reasonable personal use without our written permission.

Misrepresentation: Impersonating any person or entity or falsely stating your affiliation with a person or organization.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.

5.Payment & Billing

Pricing: Current pricing for paid plans is available at tahro.io/pricing. All prices are listed in US dollars unless otherwise specified. We reserve the right to change pricing at any time with at least 30 days' notice to existing subscribers.

Free Plan: The Free plan is provided at no charge subject to the limitations described on our pricing page. We reserve the right to modify or discontinue the Free plan with 60 days' notice.

Paid Plans: Paid plans are billed on a recurring monthly or annual basis. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.

Payment Processing: All payments are processed by Stripe, Inc. By providing your payment details, you also agree to Stripe's terms of service. We do not store full payment card information on our servers.

Upgrades and Downgrades: Plan changes take effect immediately. When upgrading, you will be charged a prorated amount for the remainder of your current billing period. When downgrading, the change will take effect at the start of your next billing period with no partial refund for unused time.

Cancellation and Refunds: You may cancel your subscription at any time. Your paid features will remain active through the end of your current billing period. We do not provide refunds for unused time except where required by applicable law or at our sole discretion in exceptional circumstances.

Taxes: You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities. Where required, we will collect and remit taxes on your behalf.

Failed Payments: If a payment fails, we will retry the charge up to three times over seven days. If payment cannot be collected, your account may be downgraded to the Free plan.

6.Intellectual Property

tahro's Intellectual Property: The Service, including all software, algorithms, user interfaces, logos, trademarks, and documentation, is owned by tahro, Inc. and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license described below.

License to Use the Service: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes. You may not sublicense, sell, resell, transfer, or otherwise exploit this license.

Your Content: You retain ownership of all content you create, upload, or transmit through the Service ("User Content"), including meeting recordings, whiteboard data, workspace messages, and email content. By using the Service, you grant tahro a limited, worldwide, royalty-free license to store, process, and transmit your User Content solely to the extent necessary to provide the Service to you.

Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without obligation to you.

DMCA Compliance: We respond to valid DMCA takedown notices. To submit a notice, contact dmca@tahro.io with the required information. Counter-notices will be processed according to the DMCA process. Accounts with repeated infringement will be terminated.

7.Privacy

Your use of the Service is subject to our Privacy Policy, available at tahro.io/privacy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

Data Ownership: You own your User Content. We do not claim ownership of any data you input into the Service, including meeting content, workspace messages, email, and whiteboard data.

Data Processing: For users subject to GDPR, tahro acts as a data processor with respect to User Content processed on your behalf, and as a data controller with respect to account and usage data. Our Data Processing Agreement (DPA) is available upon request for Business and Enterprise customers.

Security: We implement industry-standard security measures as described in the Privacy Policy. You are responsible for the security of your account credentials and for ensuring that your use of the Service complies with applicable privacy laws with respect to the personal data of your meeting participants and workspace members.

8.Termination

Termination by You: You may terminate your account at any time by visiting Settings → Account → Delete Account. Upon termination, your access to the Service will cease and your data will be deleted in accordance with our Privacy Policy.

Termination by tahro: We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if we reasonably believe you have violated these Terms. In the case of termination for cause (such as violation of the Acceptable Use Policy), no refund will be provided. In other cases, we will provide a prorated refund for the unused portion of any prepaid subscription period.

Effect of Termination: Upon termination, all licenses granted to you under these Terms will immediately expire. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Data Retrieval: Upon termination, you have 30 days to export your data before it is permanently deleted. After this period, we cannot recover deleted data.

9.Disclaimers & Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, TAHRO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or timeliness of AI-generated transcripts, summaries, or action items — these are provided as convenience tools and should be reviewed for accuracy.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. In such jurisdictions, our warranties are limited to the maximum extent permitted by applicable law.

We are not responsible for the actions of other users within meetings or workspaces. Meeting hosts are responsible for managing participant behavior within their rooms.

10.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TAHRO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT WILL TAHRO'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TAHRO IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if tahro has been advised of the possibility of such damages.

Some jurisdictions do not allow the limitation of liability for personal injury, or consequential or incidental damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11.Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email and through a prominent in-app notice at least 14 days before the changes take effect. For minor changes, we will update the "Last updated" date at the top of this page without additional notice.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those Terms. If you do not agree to the revised Terms, you must stop using the Service and may request account deletion.

We encourage you to review these Terms periodically. Previous versions are available upon request.

12.Governing Law & Contact

Governing Law: These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Dispute Resolution: Before filing a formal legal claim, you agree to attempt to resolve disputes informally by contacting us at legal@tahro.io. We will attempt to resolve disputes within 30 days. If informal resolution fails, disputes will be resolved through binding arbitration conducted by the American Arbitration Association under its Commercial Arbitration Rules. You waive any right to a jury trial or to participate in a class action lawsuit. This arbitration provision does not prevent either party from seeking injunctive relief in a court of competent jurisdiction.

Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force.

Entire Agreement: These Terms, together with the Privacy Policy and any additional terms for specific services, constitute the entire agreement between you and tahro with respect to the Service and supersede all prior agreements.
